Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you, or the entity you represent ("Customer," "you"), and HeyRelio ("HeyRelio," "we," "us"). By creating an account, generating an API key, or otherwise accessing or using the HeyRelio platform and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of the Service

HeyRelio provides managed Instagram outreach automation on a Bring-Your-Own-Account (BYOA) basis. You connect Instagram sender accounts that you own or are authorized to operate; we provision dedicated cloud Android devices, manage proxies and warm-up, and send direct messages on your behalf according to the campaigns, target lists, and message templates you supply through the dashboard or API. The Service includes campaign management, a unified inbox, suppression and opt-out handling, analytics, and webhook event delivery.

3. Account Registration & API Keys

To use the Service you must register an account and provide accurate, current information. You are responsible for safeguarding your login credentials and your per-client API keys, and for all activity that occurs under them. API keys grant programmatic access to your data and campaigns; treat them as secrets, never embed them in client-side code, and rotate them if you suspect compromise. Notify us promptly at support@heyrelio.com of any unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

• send unsolicited bulk messages, spam, or content that violates applicable anti-spam laws (including the CAN-SPAM Act, applicable telemarketing rules, and equivalent laws in your jurisdiction and your recipients' jurisdictions);
• distribute unlawful, fraudulent, deceptive, harassing, defamatory, hateful, or sexually exploitative content, or content that infringes intellectual property or privacy rights;
• contact individuals who have opted out, or send messages for which you lack a lawful basis;
• attempt to probe, scan, or breach the security of the Service, reverse engineer it, or exceed documented rate limits; or
• resell or sublicense the Service without our prior written consent.

We may suspend or remove campaigns and content that we reasonably believe violate this section.

5. Customer Responsibilities

You are solely responsible for the target lists, recipients, and message content you provide. You represent and warrant that you own or control your target lists, that you have a lawful basis to contact each recipient, that your messaging complies with all applicable laws and platform policies, and that you will promptly honor every opt-out and unsubscribe request. You are responsible for the Instagram sender accounts you connect and for ensuring you are authorized to operate them.

6. Platform & Third-Party Risk Disclosure

You acknowledge and accept that the Service automates activity on Instagram in a manner that operates against Instagram's Terms of Service by design. We implement risk-mitigation measures — including conservative daily sending limits, account warm-up ramps, randomized human-like timing, and per-account isolation — but these are mitigations, not guarantees. Instagram and other third parties may restrict, rate-limit, challenge, suspend, or permanently ban sender accounts at any time, with or without notice. This is an inherent and foreseeable risk of the Service, and you expressly accept that risk. We are not liable for any action taken by Instagram, Meta, proxy providers, or other third parties against your accounts, and any such action does not entitle you to a refund except as expressly stated in these Terms.

7. Fees & Billing

The Service is billed on a recurring monthly basis, primarily on a per-sender-account basis, at the rates presented at the time of purchase or in your order. Fees are charged in advance, are non-refundable except as required by law or expressly stated here, and exclude taxes, which you are responsible for. We may change pricing on renewal with reasonable prior notice. Failure to pay may result in suspension or termination.

8. Suspension & Termination

You may cancel at any time, effective at the end of the current billing period. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, create legal or security risk, or if required by law. Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Sections 5–6 and 9–12) will survive.

9. Disclaimers of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT MESSAGES WILL BE DELIVERED, OR THAT SENDER ACCOUNTS WILL REMAIN ACTIVE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR THE LOSS, BAN, OR RESTRICTION OF ANY INSTAGRAM ACCOUNT. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will defend, indemnify, and hold harmless HeyRelio and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your target lists, message content, recipients, use of the Service, violation of these Terms, or violation of any law or third-party right, including any claim that you lacked a lawful basis to contact a recipient or failed to honor an opt-out.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-product notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the courts located in [Jurisdiction] for any dispute arising out of or relating to these Terms or the Service.
